Terms and Conditions.
These terms govern the use of the EchoSoul Digital website and provide general conditions relating to website design and digital service inquiries.
Website Use
You may use this website for lawful purposes, including learning about EchoSoul Digital and submitting inquiries about website design or digital services.
You may not:
- Attempt to damage or disrupt the website
- Attempt to gain unauthorized access to website systems
- Submit malicious code, spam or fraudulent information
- Copy or republish protected content without permission
- Use the website in violation of applicable law
No Automatic Client Relationship
Submitting a form, sending an email or taking part in an initial conversation does not automatically create a client relationship.
A project begins only after the project scope, responsibilities, pricing and payment requirements have been accepted by both parties.
Proposals and Project Scope
Each project may be governed by a separate written proposal, estimate, invoice or agreement.
The project document may describe:
- Services being provided
- Pages and features included
- Project price and payment schedule
- Estimated project timeline
- Revision limits
- Client responsibilities
- Third-party expenses
- Launch, delivery and handoff requirements
Work requested outside the agreed scope may require an additional estimate, timeline or payment.
Client Responsibilities
Clients are responsible for providing requested information, access, materials and decisions within a reasonable timeframe.
This may include:
- Accurate business and contact information
- Logos, photographs and brand assets
- Service descriptions and website content
- Domain, hosting or account access
- Approvals and revision feedback
- Confirmation that supplied materials may legally be used
Delays in receiving content, access or approvals may affect the project schedule.
Content, Claims and Accuracy
Clients are responsible for reviewing and approving the accuracy and legality of business information placed on their website.
This includes:
- Business and service descriptions
- Prices, fees and promotional offers
- Professional qualifications and credentials
- Guarantees, warranties and performance claims
- Contact information and service areas
- Legal, regulatory and industry-specific statements
EchoSoul Digital may help organize or refine website copy, but the client remains responsible for confirming that published claims are complete, accurate and lawful.
Revisions
Revisions will be handled according to the applicable project proposal or agreement.
Requests that substantially change an approved direction, add new pages or features, replace approved work or expand the original scope may require additional fees and time.
Timelines
Project timelines and completion dates are estimates unless a date is expressly guaranteed in writing.
Timelines may change because of:
- Delayed client content or feedback
- Changes in project scope
- Technical complications
- Third-party service interruptions
- Domain, hosting or security issues
- Events outside reasonable control
Payment
Project pricing, deposits and payment schedules will be stated in the applicable proposal, invoice or agreement.
Unless otherwise agreed in writing:
- Payments earned for completed work are non-refundable
- Work may be paused while an invoice remains unpaid
- Final launch or transfer may be withheld until payment is received
- Additional services may be invoiced separately
- Third-party costs may require advance payment
Third-Party Products and Services
Website projects may use products or services provided by third parties, including:
- WordPress
- Hosting companies
- Domain registrars
- Plugins, software and themes
- Scheduling and booking platforms
- Analytics providers
- Email and payment systems
- Artificial-intelligence services
EchoSoul Digital does not control these providers and cannot guarantee their continued availability, pricing, security, compatibility or performance.
Domains, Hosting and Accounts
Unless specifically included in writing, clients are responsible for:
- Domain registration and renewal
- Website and email hosting
- Software and plugin subscriptions
- Maintaining account access and billing information
- Keeping usernames and passwords secure
Ownership and Intellectual Property
Each party retains ownership of material it owned before the project began.
After full payment, the client receives the rights described in the applicable project agreement for the completed website deliverables.
EchoSoul Digital retains ownership of:
- Pre-existing tools, systems and methods
- Reusable development techniques
- Unused concepts and design directions
- General professional knowledge and experience
Third-party software, photographs, fonts, plugins and other licensed materials remain subject to their applicable licence terms.
Portfolio Use
Unless a client requests otherwise in writing, EchoSoul Digital may display completed public-facing work in its portfolio, website, social media or promotional materials.
Confidential information will not intentionally be disclosed.
Website Maintenance
Unless an ongoing maintenance service is purchased, a completed website project does not include unlimited future:
- Content or design changes
- Software and plugin updates
- Security monitoring
- Website backups
- Technical support
- Hosting administration
- Search-engine optimization
Maintenance and future changes may be quoted separately.
Search Rankings and Business Results
EchoSoul Digital does not guarantee:
- A specific Google or search-engine ranking
- A specific number of leads or customers
- A particular level of revenue or sales
- Uninterrupted website operation
- Approval by third-party platforms
- Permanent compatibility with every device, browser or plugin
Results depend on competition, reputation, advertising, demand, market conditions and other factors outside EchoSoul Digital’s control.
Warranties
Services will be provided with reasonable care and skill.
Except where prohibited by law, the website and general website information are provided without additional express or implied warranties.
Limitation of Liability
To the maximum extent permitted by law, EchoSoul Digital will not be liable for indirect, incidental, special or consequential losses arising from:
- Use or inability to use a website
- Loss of business, revenue, data or opportunity
- Third-party service failure
- Security incidents outside reasonable control
- Inaccurate client-supplied information
- Client or third-party changes after delivery
- Search ranking, advertising or marketing outcomes
Any limitation of liability contained in a separate signed project agreement will govern that project.
Indemnification
To the extent permitted by applicable law, clients are responsible for claims arising from content or materials they provide, their misuse of the website or their violation of another person’s rights.
Termination
Either party may end a project according to the terms of the applicable project agreement.
Upon termination, the client remains responsible for approved work completed and non-refundable third-party costs incurred before termination.
Governing Law
These Terms are governed by the laws of Ontario and the applicable federal laws of Canada.
Any dispute will be handled in an appropriate court or dispute-resolution forum in Ontario unless another arrangement is required by law or agreed in writing.
Changes to These Terms
These Terms may be updated as the website, services or legal requirements change.
The effective date displayed at the top of this page identifies the current version.
